Qualified investors are persons who have significant experience in the securities market, have the means and knowledge to invest in riskier assets.

For individuals

To obtain the status of a qualified investor, an individual must meet at least one of the following requirements:

The advantage of qualified investors is the ability to invest in a wider range of securities than an unqualified investor, who only has access to securities traded on the Moscow Exchange and the St. Petersburg Stock Exchange (included in the S&P 500 index). The list of securities available to qualified investors is much wider, it includes (in addition to securities traded on the Moscow Exchange and the St. Petersburg Stock Exchange) shares of foreign issuers, investment shares of closed-end mutual investment funds: hedge funds, venture capital investments, credit, direct investments and long-term direct investments, split (crushed) and whole lots of Eurobonds of Russian and foreign companies, structured notes, etc.

These investments are highly risky and that is why the regulator restricts access to them. Structured notes were available to unqualified investors and were in significant demand, especially when registering IIS (individual investment accounts), however, the Central Bank of Russia considered this instrument to be high-risk and by the end of 2020 began active checks of brokerage organizations that offered this product. Brokers, in turn, switched to a different offer for clients – ILI (individual life insurance). By the way, in the event of a divorce, all the money that lay on the ILI will remain yours, and will not be divided between the former spouses.

Qualified investor status can be obtained through the brokerage organization that serves the client. To do this, you must send a copy / scan of a document confirming compliance with one of the above criteria. The procedure for becoming a qualified investor takes about five days, as the broker must verify the documents.

Interesting fact

As you can see, most Russian companies place securities in Russia or have receipts on the Russian stock exchange, which is a consequence of the fact that the main investors in the company are located in Russia. An example of an exception is Veon, more commonly known as VimpelCom or Beeline, and is traded in the United States.

For legal entities

To obtain the status of a qualified investor, a legal entity must meet at least one of the following conditions:
